These Terms of Service ("Terms") govern your use of RetainWell's services. By using our service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using RetainWell, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our service.

2. Service Description

RetainWell provides customer retention tools for SaaS businesses, including:

  • Cancellation flow management

  • Customer retention analytics

  • Conditional offer systems

  • Pause subscription options

  • Exit survey tools

3. Account Registration

  • You must provide accurate and complete information

  • You're responsible for maintaining account security

  • You must be at least 18 years old to use our service

  • Each workspace represents one subscription (you may be a member of multiple workspaces)

  • You're responsible for all activity under your account

4. Subscription and Payment

  • Subscription fees are billed in advance on a monthly or annual basis

  • All payments are processed through our secure payment provider (Polar)

  • Prices may change with 30 days notice for existing customers

  • Refunds are subject to our Refund Policy (30-day money-back guarantee for new customers)

  • After the refund period, no refunds for partial months or unused features

5. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose

  • Interfere with or disrupt the service

  • Attempt to gain unauthorized access

  • Transmit viruses or malicious code

  • Violate any applicable laws or regulations

  • Infringe on intellectual property rights

  • Harass, abuse, or harm other users

6. Intellectual Property

RetainWell and its original content, features, and functionality are owned by RetainWell and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to your data. By using our service, you grant us a license to use your data solely to provide and improve our services.

7. Data and Privacy

Your use of our service is also governed by our Privacy Policy. You agree that we may process your data as described in our Privacy Policy.

8. Service Availability

  • We strive for high availability but don't guarantee uninterrupted service

  • We may perform maintenance with reasonable notice

  • We're not liable for any downtime or service interruptions caused by third-party services

  • We reserve the right to modify or discontinue features with 30 days notice

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RETAINWELL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless RetainWell from any claims, losses, liability, damages, or expenses arising from your use of the service or violation of these Terms.

11. Termination and Cancellation

  • You may cancel your paid subscription at any time, which downgrades your account to our free plan

  • To permanently delete your account and all data, contact [email protected]

  • We may suspend or terminate accounts that violate these Terms

  • Upon account deletion (not subscription cancellation), we'll delete your data within 90 days unless legally required to retain it

12. Changes to Terms

We reserve the right to modify these Terms at any time. We'll notify you of significant changes via email or through the service. Continued use after changes constitutes acceptance.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the service shall be resolved exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.

To the extent permitted by law, you and RetainWell agree to waive any right to a jury trial.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
